1. Overview
Ovendrop ("we," "us," or "the Platform") is an online marketplace operated by Ovendrop LLC that connects independent home bakers ("Bakers") with consumers ("Buyers") seeking homemade baked goods. By creating an account or using Ovendrop, you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
Ovendrop is a marketplace and technology platform only. We do not produce, prepare, store, handle, or ship any food products. All products listed on Ovendrop are made by independent Bakers in their home kitchens under applicable state cottage food laws.
2. Eligibility
You must be at least 18 years old to use Ovendrop. By creating an account, you represent that you are 18 or older and have the legal capacity to enter into these Terms.
Bakers must comply with all applicable cottage food laws in their state of operation. Ovendrop currently supports Bakers in Florida and Minnesota only.
3. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate and current information during registration and keep your account information up to date.
We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any conduct we determine is harmful to other users or the Platform.
4. Marketplace Role and Disclaimer
Ovendrop is not a food producer, seller, distributor, or retailer. Each transaction on the Platform is a direct sale between the Buyer and the Baker. Ovendrop facilitates the transaction but is not a party to the sale.
All food products available through Ovendrop are prepared in home kitchens that are not subject to state food safety inspections. By purchasing through Ovendrop, you acknowledge and accept the inherent risks of purchasing food prepared in a home kitchen environment.
Ovendrop does not inspect, test, certify, or guarantee the quality, safety, legality, or labeling accuracy of any product listed on the Platform. We do not verify that Bakers hold required permits, registrations, or certifications beyond the self-certification provided during onboarding.
5. Baker Obligations
5.1 Cottage Food Compliance
Bakers represent and warrant that they comply with all applicable cottage food laws, regulations, and requirements in their state of operation, including but not limited to:
- Florida: Compliance with Florida Statute 500.80, including proper labeling (baker name and address, ingredients, net weight, allergens, and the required disclaimer: "Made in a cottage food operation that is not subject to Florida's food safety regulations"), annual gross sales limits, and product category restrictions.
- Minnesota: Current registration with the Minnesota Department of Agriculture (MDA), compliance with applicable sales tier requirements (including food safety training), proper labeling, and adherence to direct-sale-only requirements.
5.2 Product Accuracy
Bakers are solely responsible for the accuracy of all product listings, including descriptions, ingredients, allergen disclosures, pricing, images, and shelf life information. Bakers must promptly update or remove listings that are no longer accurate.
5.3 Food Safety
Bakers are solely responsible for food safety, proper preparation, hygiene, packaging, storage, and handling of all products. Ovendrop strongly recommends that Bakers obtain product liability insurance coverage.
5.4 Order Fulfillment
Bakers must fulfill accepted orders in a timely manner and communicate with Buyers regarding order status and pickup arrangements. Failure to fulfill orders may result in account suspension.
6. Buyer Obligations
Buyers are responsible for reviewing product listings, including all ingredient and allergen information, before placing an order. If you have food allergies, sensitivities, or dietary restrictions, it is your responsibility to verify with the Baker that products are safe for you to consume.
Buyers must be available for local pickup at the agreed-upon time and location.
7. Fees and Payment
7.1 Platform Fees
Ovendrop charges the following fees:
- Buyer service fee: 6.5% of the order subtotal (minimum $0.50), added to the buyer's total at checkout.
- Baker commission: 8% of the order subtotal, deducted from the Baker's payout. Bakers enrolled in the Founding Baker program pay a reduced commission of 4% for the lifetime of their storefront.
Fees are subject to change. We will notify users of material fee changes at least 30 days in advance.
7.2 Payment Processing
All payments are processed through Stripe, Inc. By using Ovendrop, you agree to Stripe's Connected Account Agreement and Stripe's Privacy Policy. Ovendrop does not store your credit card information.
7.3 Authorization and Capture
When a Buyer places an order, a hold (authorization) is placed on their payment method. The charge is only captured when the Baker accepts the order. If the Baker declines the order, the authorization is released and the Buyer is never charged. Authorizations expire after 7 days if the Baker takes no action.
7.4 Baker Payouts
Baker payouts are processed through Stripe Connect. Bakers must complete Stripe's onboarding process, including identity verification, to receive payouts. Payout timing is determined by Stripe's standard schedule.
8. Orders, Cancellations, and Refunds
Bakers may accept or decline any order at their discretion. If a Baker declines an order, the Buyer's payment authorization is released and no charge is incurred.
8.1 Buyer Cancellations
Buyers may cancel an order before the Baker begins preparation (while the order status is “Pending” or “Accepted”). If the payment has not yet been captured, the authorization is released and no charge is incurred. If the payment has been captured, the Buyer receives a refund of the order total minus the non-refundable 6.5% service fee.
8.2 Baker Refunds
A Baker may issue a refund at any time after accepting an order. When a Baker initiates a refund, the Buyer receives a full refund of the order total including the service fee. A small processing fee may be applied to the Baker's account balance.
8.3 Dispute Resolution
Ovendrop may, at its sole discretion, facilitate dispute resolution between Buyers and Bakers, but is not obligated to do so. Ovendrop reserves the right to issue refunds or credits in cases of fraud, Platform errors, or other circumstances we deem appropriate.
9. User Content
You retain ownership of content you upload to Ovendrop (product images, profile photos, reviews, messages). By uploading content, you grant Ovendrop a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating the Platform.
You represent that you have the right to upload all content and that it does not infringe on any third party's intellectual property rights. We may remove content that violates these Terms or applicable law.
10. Messaging
Ovendrop provides in-platform messaging to facilitate communication between Buyers and Bakers regarding orders. Messages must be related to orders and platform activity. You may not use messaging to harass, spam, or solicit transactions outside the Platform.
11. SMS Notifications
11.1 Scope
Ovendrop offers optional SMS (text message) notifications for transactional account activity, including order confirmations, pickup notifications, and order status updates. SMS is not used for marketing, promotional, or advertising content.
11.2 Consent
SMS is strictly opt-in. You must affirmatively consent by checking the SMS consent box during account signup. Consent is not pre-selected and is never inferred from your phone number alone. The mobile phone number, opt-in timestamp, and consent status are stored for carrier-compliance recordkeeping.
11.3 Frequency and Cost
Message frequency varies based on your account activity. Message and data rates may apply depending on your mobile carrier and plan. You are responsible for any charges your carrier may apply.
11.4 STOP and HELP
Reply STOP to any Ovendrop text message to unsubscribe. Reply HELP for assistance, or email [email protected]. Opting out of SMS does not affect transactional email notifications or your ability to use the Platform.
11.5 Carrier Disclaimer
Mobile carriers are not liable for delayed or undelivered messages. Ovendrop does not guarantee timely delivery of any SMS message.
11.6 Eligibility and Termination
SMS is available to US mobile numbers only and is restricted to account holders who are 18 or older. Ovendrop reserves the right to stop sending SMS to a given number at any time — including if messages are repeatedly undeliverable or if the account is suspended.
12. Prohibited Conduct
You may not:
- List or sell products that are not permitted under applicable cottage food laws
- Sell products across state lines where prohibited by law
- Exceed state-mandated revenue caps for cottage food operations
- Misrepresent ingredients, allergens, or product characteristics
- Circumvent Platform fees by arranging off-platform transactions
- Create false or misleading reviews
- Use the Platform for any unlawful purpose or in violation of these Terms
- Attempt to interfere with the Platform's operation or security
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OVENDROP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.
OVENDROP SHALL NOT BE LIABLE FOR ANY ILLNESS, INJURY, ALLERGIC REACTION, OR DEATH RESULTING FROM THE CONSUMPTION OF PRODUCTS PURCHASED THROUGH THE PLATFORM. ALL FOOD PRODUCTS ARE PREPARED BY INDEPENDENT BAKERS IN HOME KITCHENS THAT ARE NOT SUBJECT TO STATE FOOD SAFETY INSPECTIONS.
In no event shall Ovendrop's total aggregate liability exceed the amount of Platform fees you have paid in the twelve (12) months preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Ovendrop and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any product you list, sell, or purchase through the Platform.
Bakers additionally agree to indemnify Ovendrop against any claims arising from the food products they prepare, list, or sell, including but not limited to claims related to food safety, allergens, labeling, or cottage food law compliance.
15. Dispute Resolution
Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, except that either party may bring claims in small claims court if eligible.
You agree to resolve disputes on an individual basis and waive the right to participate in a class action or class-wide arbitration.
These Terms are governed by the laws of the State of Minnesota, without regard to conflict of law principles.
16. Modifications to Terms
We may update these Terms at any time. Material changes will be communicated via email or prominent notice on the Platform at least 30 days before taking effect. Continued use of Ovendrop after changes take effect constitutes acceptance of the updated Terms.
17. Termination
You may close your account at any time. We may suspend or terminate your account for violation of these Terms, inactivity, or at our sole discretion with reasonable notice. Upon termination, your right to use the Platform ceases, but provisions that by their nature should survive (including Sections 4, 13, 14, and 15) will remain in effect.
